Position Summary

This position will support the US Legal Department and Ormat Energy Storage segment in project finance, M&A, and complex transactional and litigation matters as well as routine contract and other legal matters. This role requires strong organizational skills, exceptional attention to detail, effective cross-functional collaboration, and the ability to work independently in a fast-paced environment. The Paralegal will assist with litigation and transaction management, due diligence, and closing processes.

 

 

 

 

Essential Functions

  • Organize and assist with review of project finance and M&A transaction data rooms and documents, including NDAs, term sheets, purchase agreements, financing agreements, closing certificates, and ancillary documents.
  • Coordinate due diligence efforts, including collecting, organizing and tracking documentation across legal, financial, operational, regulatory, real property and environmental matters.
  • Assist with review and organization of complex commercial agreements, including with respect to large supply and/or service agreements.
  • Compile and distribute closing documents.
  • Coordinate internally with finance, operations, regulatory, business development, land and project teams to assist with deliverables tied to transaction timelines.
  • Review, analyze, and make recommendations on a variety of correspondence and agreements pertaining to transactions. litigation and regulatory issues.
  • Prepare, review and file transactional, litigation, and regulatory documents.
  • Prepare ad hoc reports, analyze and conduct special projects.
  • Responsible for maintaining department records through the use of SharePoint, Visio, and other document retention systems.
  • Provide support to the General Counsel and other legal team members in all areas as needed.
  • Must be detail oriented and able to work in a fast-paced environment.
  • Must be effective working both independently and as part of a dynamic team.
  • Must be self-motivated and able to use independent judgment requiring in-depth analysis of variable factors.

  • Develop and maintain business relationships and work effectively with internal business partners and outside counsel and consultants.
  • Work effectively with personnel at all levels and participate in cross-functional projects.
  • Perform other related duties as assigned.

 

 

 

Education, Experience, and Skills Required

  • Paralegal Certificate required; 7+ years of relevant experience preferred. Large law firm experience or in-house corporate experience preferred.
  • Strong background in transactional work, ideally including project finance, M&A, or energy experience.
  • Strong analytical, organizational, and document-management skills.
  • Ability to manage multiple priorities, meet tight deadlines, and work both independently and collaboratively.
  • Advanced proficiency in Microsoft Office, Teams, SharePoint, and online research tools.
  • Must be able to read, write and speak English at a level which will permit accurate understanding and communication to safety and efficiently perform the job duties
  • Excellent verbal and written communication skills; professional judgment and discretion.

 

 

 

Physical Requirements

  • The ability to work at a computer, and computer monitor, and use repetitive motion for long periods of time.
  • Occasional domestic and international travel.
  • This position requires sitting 80% of the time and standing and walking 20% of the time.
